1. Acceptance of these terms

These Terms of Service ("Terms") constitute a binding agreement between you and Dark Knight Project LLC, a Wyoming limited liability company ("DKP," "we," "us," or "our"), governing your access to and use of hospitalityopsintel.com (the "Site") and any content, features, or services made available on or through it. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you may not access or use the Site.

2. About the Site

Hospitality Ops Intel is an editorial publication covering hotel, resort, and casino operations. The Site is published by DKP. Articles are intended as operational reference for working hospitality professionals — general managers, directors of operations, security and safety leaders, IT and systems managers, and casino executives.

The Site is informational. Nothing on the Site constitutes an offer to provide services, a contractual representation, a service-level commitment, or a warranty of any kind.

3. Eligibility

The Site is intended for use by individuals who are at least eighteen (18) years of age and who are accessing the Site in a business or professional capacity. By using the Site, you represent and warrant that you meet these eligibility requirements and that your use does not violate any applicable law or contractual obligation.

4. Permitted and prohibited use

You may access and use the Site for lawful business and informational purposes, including reviewing publicly available content, evaluating DKP as a potential vendor or partner, and engaging with us through provided contact channels.

You may not, directly or indirectly: use the Site for any unlawful purpose; reproduce, distribute, transmit, display, publish, license, create derivative works from, or sell content from the Site beyond what is necessary to access it; reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying architecture of DKP technology; scrape, crawl, harvest, or systematically extract content through automated means without prior written consent (standard search-engine indexing is permitted); interfere with or disrupt the Site or any DKP systems; probe, scan, or test the vulnerability of the Site without express prior written authorization (responsible disclosure inquiries should be directed to security@thedarkknightproject.com prior to any testing activity); submit unlawful, defamatory, infringing, or harmful content; use the Site to transmit unsolicited commercial communications; or use the Site or its content to develop a competing product or service, or to train an artificial intelligence model intended to replicate or compete with DKP's technology or editorial corpus.

5. Intellectual property

The Site and all content, features, functionality, design elements, source code, documentation, and other materials made available on or through the Site are owned by DKP or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. DKP technology is the subject of pending U.S. patent applications, including Application Numbers 19/416,578, 19/439,316, 19/459,226, and 19/562,703.

Subject to your compliance with these Terms, DKP grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view publicly available content on the Site for the permitted purposes described above. This license does not include any right to download (other than ordinary browser caching), copy, modify, distribute, or use Site content other than for your individual review.

6. Forward-looking statements

The Site may contain forward-looking statements regarding DKP's future products, technology, business strategy, market position, and other matters that are not historical fact. Forward-looking statements are based on current expectations and beliefs that may prove incorrect, and involve risks and uncertainties. DKP undertakes no obligation to update any forward-looking statement.

7. Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, DKP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND COMPLETENESS. DKP DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DKP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE.

DKP'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100). The foregoing limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless DKP and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your access to or use of the Site; your violation of these Terms; your violation of any applicable law or third-party right; or any content you submit through the Site.

10. Governing law and venue

These Terms and any dispute arising out of or relating to these Terms or your use of the Site are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, and by applicable federal law of the United States. Any action arising out of these Terms shall be brought exclusively in the state or federal courts located in Wyoming. The parties agree to attempt to resolve any dispute through good-faith informal communication for thirty (30) days before initiating formal proceedings.

11. Termination

DKP may suspend or terminate your access to the Site, in whole or in part, at any time and for any reason, including any actual or suspected violation of these Terms, without prior notice or liability. Provisions that by their nature survive termination — including without limitation Sections 4 (Prohibited Use), 5 (Intellectual Property), 7 (Disclaimer), 8 (Limitation of Liability), 9 (Indemnification), and 10 (Governing Law) — survive termination.

12. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and DKP regarding your use of the Site. DKP's failure to enforce any provision is not a waiver. If any provision is held invalid, the remaining provisions remain in effect. You may not assign these Terms without DKP's prior written consent; DKP may assign in connection with a merger, acquisition, financing, or similar transaction. These Terms do not create third-party beneficiary rights.

DKP may revise these Terms from time to time. Revised Terms will be posted on the Site with an updated "Last Updated" date. Continued use after the effective date constitutes acceptance of the revised Terms.
